LiveRed Team ReviewStress-test an acquisition thesis for a digital therapeutics company from deal, digital, regulatory and payer angles.
Deal Thesis Red Team is a ready-made use case for Corporate Development. It ships under the Red Team Review template.
For corporate development leads. You get the position under test, a verdict, the challenges by angle, which survive, what would have to be true and where the thesis is weakest. Claims are cited or marked as gaps.

The decision
Where does the investment thesis for acquiring a digital therapeutics company fail, before it goes to the board?
Who attacks
The public record on digital therapeutics shows both rapid listing in some systems and concentration of use in a few products. The thesis will be tested against it.
| Seat | How it attacks | What it works from |
|---|---|---|
| Ecosystem Intelligence Orchestrator | Revenue durability, customer concentration and the history of comparable companies. | Public filings and market records. |
| Head of Digital Therapeutics | Whether the product works in practice and whether engagement holds.1 | Trial evidence and usage data. |
| Regulatory Strategist | Whether the clearances support the claims and the roadmap.2 | FDA records for the company’s products. |
| HEOR Evidence Lead | Whether payers will cover the product at the price assumed.3 | The German directory and the insurers’ report. |
What the red team does
Concentration is a diligence finding. In the German record one product accounted for 44.1 percent of redeemed codes in 2025, and only a minority of products added over the reporting period could show a benefit at admission. The red team asks whether the target is exposed to the same pattern.3
Clearance is not coverage. An FDA clearance allows marketing but does not secure payment. The report separates the two assumptions in the thesis.2
Tripwires. The report lists the diligence findings that would stop the deal and the signals after closing that would show the thesis is failing.
Recommended length
Standard
Four angles can break this plan. Standard depth gives each a seat, scores the challenges and lists mitigations and tripwires in about four pages.
You can pick another length on the form. The other two stay available.
Assumptions the red team tests
The red team lists the assumptions the plan relies on and says what would break each. Examples for this plan:
- Usage by patients will persist beyond the first prescription.
- Payers will move from provisional to permanent coverage.
- The company’s clearances cover the planned expansion.
Standards, guidance and sources
Frame
The decision practice behind the memo itself is on the template page.
What gets flagged
Any revenue claim taken from the target’s own materials, any coverage assumption with no payer decision behind it, and any figure from a payer body with a stated position.
What arrives
- The position under test
- Verdict
- The challenges, by angle
- Which challenges survive
- The pre-mortem
- What would have to be true
- Mitigations and tripwires
- Where the position is weakest
What it will not do
It stays adversarial and does not defend the plan. It is a stress test by AI specialists and not a vote of human experts, and the decision stays with you.
It does not value the company or advise on terms.
It does not defend the plan. Defenses appear only as the status of an attack.
It does not invent an attack. Each challenge rests on a cited fact or is marked as a gap.
It is not a vote of human experts. Every seat is an AI specialist, and the report says so.

About the Panel service
Each panelist answers in their own voice, then the discussion is drawn together. You get the question and who was in the room, every position in full, what they agreed on, where they split, and what follows. Disagreements are written down rather than smoothed into a consensus nobody actually holds, because the split is usually the part you needed.
